This report outlines the measures\r\nimplemented to prevent and mitigate the risk of forced labor or child labor being used at any step of\r\nthe production of goods in Canada or elsewhere or of goods imported into Canada by the\r\nCompany.\r\n\t<br><br>\r\n\tThis report is not a revised version of a report that was submitted previously. The entities addressed\r\nin this report are not subject to reporting requirements under supply chain laws in any other\r\njurisdictions.\r\n\t<br><br>\r\n\tCorporate History, Structure and Business Activities\r\n\t<br><br>\r\n\t<br><br><strong>Histoire, structure et activit\u00e9s commerciales de l&#8217;entreprise<\/strong>\r\n\t<br><br>\r\n\tPhildan Inc. (1177233039) is a private company, founded in 1968, and incorporated under the\r\nQuebec Business Corporations Act; with its headquarters located at 2000-1100 Atwater Avenue in\r\nMontreal, Quebec. \r\n\t<br><br>\r\n\tOur activities are divided into two business segments.\r\n\t<br><br>\r\n\t<ul>\r\n\t\t<li>\r\n\t\tThrough our sales and marketing agencies (Philippe Dandurand Wines Ltd, Univins and Spirits\r\nCanada Inc., Galleon Fine Wines Inc.) we manage the importation, distribution, marketing, and sale\r\nof alcoholic beverages to governmental bodies and independent retailers. We work with a variety of\r\nstakeholders, from consumers through our online boutique specializing in wine importation, to\r\nproducers by giving them access to distribution channels in Canada. \r\n\t\t<\/li>\r\n\t\t<li>\r\n\t\tThrough Station 22, we manage the manufacturing and bottling of alcoholic and non-alcoholic\r\nbeverages.\r\n\t\t<\/li>\r\n\t<\/ul>\r\n\t<br><br>\r\n\t<br><br><strong>Supply Chain<\/strong>\r\n\t<br><br>\r\n\tThe Company procures raw materials, finished goods and services from a broad range of local and\r\ninternational suppliers in many jurisdictions in the world.\r\n<br><br>\r\nMost of the finished goods we purchase are wines and spirits from producers located in countries\r\nsuch as the United-States, France, Italy, Portugal, Greece, Argentina, Chile, South Africa, Australia,\r\nand New-Zealand.\r\n\t<br><br>\r\n\tMost of the raw materials we purchase include bulk wine, bulk spirits, malt-based beverages,\r\njuices, water, flavors, bottles, cans, lids, caps, labels, and packaging materials that we use to\r\nmanufacture, bottle and\/or distribute alcoholic and non-alcoholic beverages. We procure them\r\nmostly from Canada, the United States, Mexico, Europe (Portugal, Italy, France, Greece, Spain,\r\nUnited Kingdom), South America (Argentina &#038; Chile), Australia, New -Zealand and China.\r\n<br><br>\r\nWe also purchase machinery to operate our factory in Montr\u00e9al. We favor local purchases when\r\npossible.\r\n\t<br><br>\r\n\tGovernance, Policies and Due Diligence Processes\r\n\t<br><br>\r\n\t<br><br><strong>Oversight<\/strong>\r\n\t<br><br>\r\n\tWe are committed to respecting human rights in all aspects of our operations and business\r\nactivities and to embedding responsible business conduct into our policies and our management\r\nsystems.\r\n\t<br><br>\r\n\tOur Board is responsible for the overall stewardship of our organization and overseeing the\r\nmanagement of our business and affairs. The Board established two committees to assist it in\r\nfulfilling its oversight responsibilities regarding corporate social responsibility and compliance with\r\nlegal and regulatory requirements: the Audit and Risk Management Committee and the Governance\r\nand Human Resources Committee. Environmental, social and governance (ESG) oversight and\r\nresponsibility is officially integrated into the Board&#8217;s Governance and Human Resource Committee\r\ncharter.\r\n\t<br><br>\r\n\t<br><br><strong>Policies relating to slavery and Human trafficking.<\/strong>\r\n\t<br><br>\r\n\tOur <strong>Supplier Code of Conduct<\/strong> and our <strong>Code of Conduct and Business Ethics<\/strong> for our employees\r\nreflect our commitment to implementing and enforcing effective procedures and controls to\r\nminimize the risks of human trafficking and other modern slavery practices infiltrating our business\r\noperations or supply chains, and to acting ethically and with integrity in all our business activities\r\nand relationships. Our Station 22 subsidiary is also certified by SEDEX (\u2018\u2019<strong>Supplier Ethical Data Exchange<\/strong>\u2019\u2019), a non-profit organization dedicated to driving improvements in ethical and\r\nresponsible business practices in global supply chains. As such, it follows a specific ethic code\r\ncalled \u2018<strong>Ethical Trading Initiative<\/strong>\u2019. The company monitors and ensures that it complies with federal,\r\nand provincial local laws regarding human rights to ensure full compliance.\r\n\t<br><br>\r\n\t<br><br><strong>Due diligence processes in relation to slavery and human trafficking<\/strong>\r\n\t<br><br>\r\n\tThe following actions have been implemented by the Company to prevent modern slavery and\r\nhuman trafficking occurring in our operations and supply chains:\r\n\t<br><br>\r\n\t<br><br><strong>Supplier Code of Conduct<\/strong>\r\n\t<br><br>\r\n\t<ul>\r\n\t\t<li>\r\n\t\t\tOur subsidiary Station 22 has a Supplier code of conduct that follows the principles of the\r\n\t\t\tEthical Trading Initiative contained in SEDEX. It covers labor and human rights, safety,\r\n\t\t\tenvironmental, and business ethics. All suppliers must read the code and consent to apply\r\n\t\t\tthe same principles in their activities. Station 22 expects the third parties with whom it\r\n\t\t\tinteracts to adopt and implement practices that are consistent with the Supplier Code of\r\n\t\t\tConduct and may terminate any business relationship with a third party acting in a way that\r\n\t\t\tis inconsistent with its values and practices.\r\n\t\t<\/li>\r\n\t\t<li>\r\n\t\tIn 2024, we intend to develop a similar code of conduct for all the suppliers and business\r\n\t\tpartners we work with through our sales and marketing agencies.\r\n\t\t<\/li>\r\n\t<\/ul>\r\n\t<br><br>\r\n\t<br><br><strong>Code of Conduct and Business Ethics<\/strong>\r\n\t<br><br>\r\n\tOur Code of Conduct and Business Ethics (\u2018the Code\u2019) apply to all employees, officers, managers,\r\ndirectors, agents and consultants, of the Company. It is intended to set out the general principles of\r\nacceptable conduct in our relations with other employees, clients, suppliers, investors, and the\r\ncommunities in which we carry on our activities. The Code includes policies regarding antiharassment, anti-workplace violence, anti-discrimination, and anti-retaliation.\r\n\t<br><br>\r\n\tThe Code has been revised and updated in early 2024 to adapt to new legislations and now\r\nincludes a detailed explanation of human rights specifying that involuntary labor (e.g., forced labor\r\nand child labor) is not tolerated.\r\n\t<br><br>\r\n\tOur Code also includes a Whistleblower policy which responds to serious concerns that may have\r\nrepercussions on Dandurand Group, including erroneous financial reports, illegal activities,\r\ndiscrimination, harassment, or policies violations. Any stakeholder has a duty to report suspected\r\nviolations to his or her manager or if he prefers via an independent third party.\r\n\t<br><br>\r\n\tAll employees shall review the Code at least once per year and confirm that they have done so by\r\nsigning a certification. As of 2024, members of the Board of Directors shall also certify each year\r\nthat they have read, understood, and applied the content of the Code of Conduct and Business\r\nEthics. The code is also presented to each new employees during their onboarding process. \r\n<br><br>\r\n\t<br><br><strong>Supplier Ethical Data Exchange<\/strong>\r\n\t<br><br>\r\n\tOur Station 22 subsidiary is certified by SEDEX (https:\/\/www.sedex.com) since 2019. Our last\r\ncertification was obtained in January 2023. SEDEX is a non-profit organization dedicated to driving\r\nimprovements in ethical and responsible business practices in global supply chains. Membership\r\nrequires regular self- assessment of Labor conditions, Health &#038; Safety, Environment and Business\r\nEthics which is shared with customers on the platform encouraging transparency and continuous\r\nimprovement throughout the supply chain. Their ethic code called \u2018Ethical Trading Initiative\u2019 states\r\nnine key principles the company must adhere to:\r\n\t<br><br>\r\n\t<ul>\r\n\t<li>Freedom of employment choice<\/li>\r\n\t<li>Freedom of association and the right to collective bargaining are respected<\/li>\r\n\t<li>Working conditions comply with health and safety regulations<\/li>\r\n\t<li>Child labor is prohibited<\/li>\r\n\t<li>Payment of a minimum wage<\/li>\r\n\t<li>Working hours are not excessive<\/li>\r\n\t<li>No discrimination is practiced<\/li>\r\n\t<li>It is appropriate to provide regular employment<\/li>\r\n\t<li>It is forbidden to engage in severe or inhumane treatment<\/li>\r\n\t<\/ul>\r\n\t<br><br>\r\n\t<br><br><strong>Assessing and Managing Our Risks<\/strong>\r\n\t<br><br>\r\n\tWe are aware that there may be risk of forced labour at all levels of our supply chain. However, due\r\nto the nature of our industry, we consider the risk of modern slavery in our supply chain to be\r\nlimited. Based on the public information available, we have identified the following areas of\r\npotential concerns:\r\n\t<br><br>\r\n\t<ul>\r\n\t\t<li>Wine (bulk and finished products) from Italy and France<sup>12<\/sup><\/li>\r\n\t\t<li>\r\n\t\tOcean freight suppliers<sup>34<\/sup> :  use of labour coming from low-cost countries at shipping ports\r\nof dispatch, as well as labour onboard cargo ships, may present a risk of forced labour and\r\ndebt bondage, where the economic circumstances and unskilled labour from low-cost\r\ncountries may be exploited.\r\n\t\t<\/li>\r\n\t\t<li>Uniform and Personal protective equipment suppliers<sup>5<\/sup> : use of child labour, servitude and\/or forced labour in the textile industry.<\/li>\r\n\t<\/ul>\r\n\t<br><br>\r\n\tAlthough no forced or child labor was observed and no indication of any existing historically or\r\ncurrently were found, we are dedicated to continuous monitoring and caution, and we are\r\ncommitted to developing an appropriate risk management framework at a later stage.\r\n\t<br><br>\r\n\t<br><br><strong>Remediation Of Forced And Child Labor And Loss Of Income<\/strong>\r\n\t<br><br>\r\n\tEmployees who become aware of a possible violation of the Code of Conduct and Business Ethics,\r\nor of a violation of the law by the Company or any of its employees, have an important duty to report\r\nit to his\/her direct manager or if they prefer through a third party that can be contacted by email or\r\nby phone. The Whistleblower Policy allows employees to express their concerns with the assurance\r\nthat they will be protected against reprisals or victimization for reporting in good faith. If an\r\nemployee is aware of or suspect another party is acting unethically or illegally, he or she shall make\r\na report using the identified reporting channel. The identity of anyone reporting a suspected\r\nviolation, or participating in an investigation, will remain confidential.\r\n\t<br><br>\r\n\t1 <a href=\"https:\/\/movendi.ngo\/news\/2021\/09\/22\/big-wines-human-rights-abuses\/\" target=\"_blank\" rel=\"noopener\">https:\/\/movendi.ngo\/news\/2021\/09\/22\/big-wines-human-rights-abuses\/<\/a>\r\n\t2 <a href=\"https:\/\/www.decanter.com\/wine-news\/human-trafficking-investigations-launched-in-the-champagne-region-512548\/\" target=\"_blank\" rel=\"noopener\">https:\/\/www.decanter.com\/wine-news\/human-trafficking-investigations-launched-in-the-champagne-region-512548\/<\/a>\r\n\t3 <a href=\"https:\/\/www.ihrb.org\/uploads\/meeting-reports\/Shipping_Roundtable_Meeting_Report_May_2019.pdf\" target=\"_blank\" rel=\"noopener\">Shipping_Roundtable_Meeting_Report_May_2019.pdf (ihrb.org)<\/a>\r\n\t4 <a href=\"https:\/\/www.humanrightsatsea.org\/news\/dark-underbelly-seas-human-rights-abuses-forced-labour-and-seafood-certifications\" target=\"_blank\" rel=\"noopener\">The Dark Underbelly of the Seas: Human Rights Abuses, Forced Labour, and Seafood Certifications | Human Rights at Sea<\/a>\r\n\t5 <a href=\"https:\/\/www.canada.ca\/en\/public-services-procurement\/corporate\/transparency\/briefing-materials\/committee-of-the-whole\/2022-05-19\/ethical-procurement-forced-labour.html\" target=\"_blank\" rel=\"noopener\">Ethical procurement and forced labour: Committee of the Whole\u2014May 19, 2022 &#8211; Canada.ca<\/a>\r\n\t<br><br>\r\n\tIn 2023, there were no measures taken to remediate the loss of income to the most vulnerable\r\nfamilies given that there was no forced or child labor identified in our operations or supply chain.\r\n\t<br><br>\r\n\t<br><br><strong>Training<\/strong>\r\n\t<br><br>\r\n\tAlthough the Company does not currently provide a specific training to employees on forced labor\r\nor child labor, all employees shall review the Code of Conduct and Business Ethics, which includes\r\npolicies regarding forced and child labor, at least once a year, and confirm their understanding and\r\nacceptance by signing.\r\n\t<br><br>\r\n\tAdditionally, all new employees are presented with the Code of Conduct and Business Ethics when\r\nstarting their new role and they are required to confirm their understanding and acceptance of the\r\nCode by signing.\r\n<br><br>\r\nAs of 2024, members of the Board of Directors shall also certify each year that they have read\r\nunderstood and applied the content of the Code of Business Conduct.\r\n<br><br>\r\nFinally in 2024, all employees will receive a comprehensive training regarding several policies that\r\nare included in our Code of Conduct and Business Ethics including a training on child and forced\r\nlabor.\r\n\t<br><br>\r\n\t<br><br><strong>Future Action<\/strong>\r\n\t<br><br>\r\n\tThe Company has number of measures to reduce the risk that forced labour or child labour is used\r\nin our activities. While a formal assessment of the effectiveness of those measures is not yet in\r\nplace, their effectiveness is commonly recognized within the HR best practice profession, and we\r\ncontinue to review our processes, policies and practices to align with industry best practices.\r\n\t<br><br>\r\n\tThe Company aims to take further steps soon to raise awareness and mitigate the risk of modern\r\nslavery within our operations and supply chain such as:\r\n\t<br><br>\r\n\t<ul>\r\n\t\t<li>\r\n\t\tIn Canada, all employees will conduct training regarding modern slavery and how to report\r\nit.\r\n\t\t<\/li>\r\n\t\t<li>\r\n\t\tA Supplier Code of Conduct aimed at effectively managing our risks of forced labour and\r\nchild labour in our supply chain is scheduled to be adopted in 2024 for our subsidiaries\r\nPhilippe Dandurand Wines Ltd, Univins and Spirits (Canada) Inc and Galleon Fine Wines\r\nInc. The Supplier Code of Conduct will articulate explicit expectations in this regard for our\r\nsuppliers and, among other obligations, is expected to require our direct suppliers to certify\r\nan absence of forced and child labour in their supply chain.\r\n\t\t<\/li>\r\n\t\t<li>We will continue the process of risk assessment and develop an appropriate risk\r\nmanagement framework.<\/li>\r\n\t<\/ul>\r\n\t<br><br>\r\n\tThis Report was approved by the Board of Directors of Phildan Inc. as being a joint report of Phildan\r\nInc. and its subsidiaries which have an obligation to publish a report pursuant to the Act, for the\r\nfinancial year ended December 31, 2023, in accordance with subparagraph 11(4)(b)(ii)6\r\n of the Act.\r\n\t<br><br>\r\n\tIn accordance with the requirements of the Act, and in particular section 11 thereof, I, the\r\nundersigned, attest that I have reviewed the information contained in this report for the entity listed\r\nabove.
